Trading Is Risky. Trading and investing are risky. Users can lose money. Past results are not necessarily indicative of future results. Futures, stocks and options trading involves substantial risk of loss and is not suitable for every trader or investor. The valuation of futures, stocks and options can fluctuate, and, as a result, users may lose more than their original investment. MakeCents is not a registered investment adviser or broker-dealer and does not provide securities advice. Users are responsible for making their own trading decisions.
No Guarantee of Results of Services. Neither the Platform nor any content included in the Platform is intended to be the sole or primary means of making decisions for trading or investing purposes. MakeCents is not responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the Platform, and MakeCents shall not be responsible or liable for any trading or investment decisions made based on such information.
These Terms of Use (the "Terms") govern your access to and use of the MakeCents.ai website, applications, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. We may update these Terms from time to time; material changes will be notified via the Service or email. Continued use after changes constitutes acceptance.
Clickwrap mechanics. To help ensure enforceability, you acknowledge that you accepted these Terms by checking an affirmative box at sign‑up, with version, timestamp, and IP recorded.
You are responsible for obtaining access to the Service, including paying any third-party fees (such as Internet service provider or airtime charges) involved in accessing the Service, and for obtaining and maintaining any equipment and ancillary services needed to connect to, access, or otherwise use the Service, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers and the like (collectively, "Equipment"). You are also responsible for maintaining the security of the Equipment and for all uses of the Equipment with or without your knowledge or consent.
You must be at least 18 years old (or the age of majority where you reside) to connect any broker or exchange account, enable automation, or place live orders via the Service. Users ages 13–17 (or 16 in the EEA) may browse educational content only and may not connect to a broker or exchange. You represent that you have the legal capacity to enter into these Terms.
Technology only; no advice. MakeCents is a technology platform. We do not provide investment, legal, accounting, tax, or other professional advice; we are not a broker‑dealer, investment adviser, commodity trading advisor, or money transmitter, and do not act as your fiduciary.
No individualized recommendations. Any sample prompts, templates, strategies, or configurations are educational illustrations only and are not based on your financial circumstances, objectives, or risk tolerance. They are not recommendations to buy, sell, or hold any security, cryptoasset, or instrument. We may implement monitoring tools to detect and prevent potential misuse of outputs as personalized advice, including UI warnings and activity logging.
User attestation. By using the Service you attest that (a) you make your own trading and risk decisions; (b) you reviewed and set your own risk limits; and (c) you understand that all trading involves risk of loss up to and including total loss of capital.
You agree that you will not use the Service to solicit, advertise, or otherwise promote any strategies, prompts, templates, or configurations outside of the Service or to any competitors. You will not resell, sublicense, forward, or otherwise provide access to any subscribed or generated strategies, outputs, or content without our express written permission.
We strongly encourage paper trading (simulation) to understand how strategies behave before enabling any live trading. All automation features require completion of a mandatory paper-trade threshold and a risk assessment quiz before unlocking live trading. You remain solely responsible for any live trading you enable.
Designated provider. MakeCents integrates with several third-party brokers and is not affiliated with any of them. Brokerage services for U.S. securities are provided by Broker (member FINRA/SIPC). If crypto trading is enabled in the future, services would be provided by Broker. To link a Broker account or use Broker services through the Service, you must accept and comply with Broker's applicable agreements and disclosures (e.g., Customer Agreement, API/Developer Terms, Market Data Terms, and any plan‑specific subscriber or professional/non‑professional declarations) and any updates thereto.
No introducing Broker. MakeCents does not hold customer funds or securities, does not route orders for compensation, and does not receive payment for order flow. We do not control or guarantee execution quality, margin, borrow availability, corporate actions processing, trading halts, symbol restrictions, or liquidations.
Your authorization. If you connect a broker, exchange, or data provider (including Broker), you authorize us to (i) access your account information, positions, and balances; and (ii) transmit trade instructions you initiate or automate through the Service to your selected provider, subject to your provider's terms. You acknowledge all orders are ultimately subject to your provider's systems, rules, and market conditions.
Provider independence; outages and changes. Broker and other providers are independent of MakeCents. We do not control their systems or schedules (e.g., maintenance windows, market halts, symbol restrictions). Provider outages, data delays, rejected or canceled orders, margin calls, borrow unavailability, corporate‑action adjustments, and liquidations are outside our control; we are not liable for resulting losses or missed opportunities.
Your responsibilities. You are responsible for (a) ensuring any linked account permits API access and automation; (b) maintaining sufficient funds and margin; (c) monitoring positions and risk; and (d) complying with all provider and market‑data licenses.
Market data, news, fundamentals, and analytics may be provided by Broker and other third parties and are offered on an "AS IS" and "AS AVAILABLE" basis. Data may be delayed, interrupted, incomplete, or inaccurate and is provided for informational purposes only. You acknowledge that you should not rely on a single data source and that your trading and risk decisions are your own.
No redistribution. You must not copy, cache beyond session needs, scrape, redistribute, resell, or create derivatives of third‑party or Broker-provided market data except as expressly allowed by the originating license or your data plan. Providers may audit usage and require us to suspend or terminate access for violations.
Plan and permission gating. Access to certain data (e.g., consolidated tapes, depth, historical, or "Pro" plans) may require separate subscriptions and classifications (e.g., professional/non‑professional). If your credentials, entitlements, or plan do not authorize a request, access may be denied or limited; we are not responsible for such restrictions.
No liability for third‑party data. To the maximum extent permitted by law, MakeCents disclaims all liability for errors, omissions, delays, interruptions, or inaccuracies in market data or third‑party content and for any trading losses or missed opportunities arising from such issues.
Any backtested, simulated, or hypothetical results have inherent limitations and do not represent actual trading. Past performance — whether real or simulated — does not guarantee future results. Unless expressly stated, displayed performance is gross and does not include trading fees, spreads, taxes, slippage, or latency. We will label such outputs as "Hypothetical/Backtest."
Model providers we use. To power certain features, the Service may transmit your prompts, configurations, and other inputs (and receive outputs) to one or more third‑party AI model providers (collectively, "AI Model Providers"). These providers are independent of MakeCents and process data under their own terms and privacy policies.
No confidentiality guarantees for prompts. While we implement commercially reasonable safeguards, including automated detection and redaction tools for potentially sensitive data in prompts, and endeavor to use provider modes that limit training on your content where available, we cannot guarantee confidentiality of prompts or outputs once transmitted to AI Model Providers. Providers may log or retain requests and responses per their policies. Do not input confidential information (e.g., trade secrets, material non‑public information (MNPI), personal health information, payment card numbers, government IDs, authentication secrets, or others' personal data without consent). We may display real-time warnings in the UI for detected sensitive inputs.
Your responsibilities. You represent that you have all rights and permissions necessary to submit any data you provide, and that you will not upload sensitive or regulated data unless you have lawful grounds and have enabled all required controls. Where a provider offers data‑control settings (e.g., training opt‑outs), you are responsible for enabling them in your account if required.
No liability for third‑party model providers. To the maximum extent permitted by law, MakeCents is not liable for any disclosure, publication, loss, or unauthorized access to prompts, outputs, or other User Content occurring at, or caused by, AI Model Providers or other third parties, or resulting from your configurations, your sharing, or your failure to protect your account.
We monitor and aim to comply with evolving AI regulations, including the EU AI Act. For high-risk features, we may conduct conformity assessments as required. Users in regulated jurisdictions must ensure their use complies with local laws; we may restrict features accordingly.
You may input text, prompts, code, strategies, settings, and other content ("User Content"). You grant us a worldwide, non‑exclusive, irrevocable, royalty-free, perpetual license to host, run, process, use, modify, publish, and create derivatives of User Content to provide the Service, generate outputs at your direction, and for any other purpose related to the Service. We may use de‑identified and aggregated data to improve and secure the Service.
Third‑party processing. You acknowledge that to provide the Service, MakeCents may route your prompts and other User Content to AI Model Providers for processing, subject to Section 7A. Do not submit confidential information or others' personal data without consent.
Training opt‑out. You may opt out of our use of your User Content for model‑training or quality‑improvement purposes through your account settings. Opt‑out does not affect processing necessary to provide core features you request.
You represent and warrant that you own or have all rights necessary to upload and use User Content with the Service, including any necessary waivers or permissions, and that doing so does not violate the rights of others or applicable law. If you post User Content that is publicly accessible, you acknowledge that other users may view or access it for personal use.
MakeCents acts as a passive conduit for User Content and has no obligation to screen, pre-approve, or monitor it, but reserves the right to remove or disable access to any User Content that violates these Terms.
We implement commercially reasonable technical and organizational safeguards (e.g., encryption in transit and at rest, access controls, secure key vaults, change management, vendor reviews, and adherence to standards such as SOC 2 Type II where applicable). You must:
MakeCents maintains a written information security policy that governs the protection of our systems, data, and user information. This policy includes, but is not limited to, regular risk assessments, employee training on cybersecurity best practices, implementation of access controls, encryption of sensitive data, regular security audits, and a vendor management program to ensure third-party providers meet our security standards. We also maintain a business continuity plan (BCP) to address potential disruptions, including cyberattacks.
You agree to comply with all applicable cybersecurity laws and regulations, including those related to data protection and breach notification. You must implement reasonable security measures to protect your account, devices, and any data you transmit to or receive from the Service, including using up-to-date antivirus software, firewalls, and secure networks. You will not engage in any activities that could compromise the security of the Service, such as attempting to introduce malware, viruses, or other harmful code.
In the event of a suspected cybersecurity incident affecting your account or the Service, you must promptly report it to us at legal@makecents.ai. We will investigate and respond in accordance with our incident response procedures. To the extent permitted by law, MakeCents disclaims liability for any cybersecurity incidents not directly caused by our gross negligence or willful misconduct, including those arising from your failure to adhere to security best practices or third-party actions.
If we discover a security incident affecting personal data or API credentials within our control, we will notify impacted users without undue delay and within applicable statutory periods, sharing information reasonably available at the time, and will cooperate in remediation and take appropriate corrective actions.
Beta features may be incomplete or change without notice and may impair normal operations. You accept these risks. We will provide a user‑visible on/off toggle for beta features where feasible.
If you enable automation, you agree to maintain risk limits (e.g., max position size, max daily loss) and to monitor activity. We provide — or may provide — a user‑accessible Emergency Stop to halt order submission by the Service; this does not cancel orders already at your broker. You remain responsible for closing or adjusting positions. We implement logging of user attestations and may conduct regular audits of third-party providers to mitigate risks.
Fees, taxes, and any applicable regulatory pass‑through charges are as stated at checkout or in your order form. Billing is month‑to‑month. You are responsible for all taxes, levies, or duties imposed by taxing authorities (excluding only those based on MakeCents's net income), and we may collect and remit such taxes on your behalf.
Token‑based billing. You are charged for the tokens you use, as measured and displayed by the token counter under your account (the "Token Counter"). The Token Counter is the authoritative meter for billing.
Monthly subscription fee. MakeCents will charge users a monthly subscription fee displayed on the site and additionally will charge for the used tokens.
Authorizations and payments. You authorize MakeCents to charge your payment method on file for all amounts due at the end of each monthly period. If a charge is unsuccessful, we may suspend or limit access until payment is received.
Renewals & cancellations. Subscriptions renew monthly until canceled. MakeCents may or may not send renewal reminder emails at its own discretion. You may cancel at any time by using the designated cancellation method in your account billing section; email or phone requests are not sufficient. Cancellation takes effect at the end of the then‑current monthly period, and access continues through that date.
No refunds or credits. All fees are non‑refundable and non‑creditable, including for partial months, downgrades, unused capacity, or early termination, except where required by law.
Price changes. MakeCents may or may not provide notice of price changes at its own discretion.
You will not: (a) use the Service for unlawful purposes; (b) attempt to probe, scan, or test the vulnerability of the Service; (c) circumvent security or access controls; (d) reverse engineer the software except as permitted by law; (e) resell, sublicense, or provide unauthorized access; (f) interfere with others' use; (g) misrepresent identity or affiliation; (h) violate market‑data licenses (including by scraping or redistributing Broker without permission); or (i) use the Service to develop a competing product without our consent; or (j) submit material non‑public information (MNPI), protected health information, payment card data, government identifiers, login credentials, or others' personal data without lawful basis and consent.
The Service, including software, models, and content we provide, is owned by MakeCents and its licensors and protected by IP laws. You grant us a license to use feedback you provide to improve the Service without restriction. Any suggestions, findings, improvements, or joint efforts related to the Service become our sole property without compensation to you. If you believe your copyright is infringed, send a notice to legal@makecents.ai including: (i) your contact information, (ii) identification of the work and the infringing material, (iii) a statement of good‑faith belief and accuracy under penalty of perjury, and (iv) your signature.
"Confidential Information" means non‑public information disclosed by one party to the other, marked or reasonably understood to be confidential. The receiving party will use it only to perform under these Terms and protect it with reasonable care. Exclusions apply for information that is public, independently developed, or rightfully obtained from a third party without duty of confidentiality. Obligations under this section survive termination for a period of five years.
Our Privacy Policy, link to which is located in the footer of the website, explains how we collect, use, and share information. Where applicable laws (e.g., GDPR/CCPA) provide rights, we honor those rights and provide mechanisms to exercise them. International transfers may rely on appropriate safeguards, such as Standard Contractual Clauses for EU transfers. We maintain compliance with relevant privacy standards, including potential certifications like SOC 2.
Cookies are small text files placed on your device to store data that can be recalled by a web server in the domain that placed the cookie. We use cookies and similar technologies (e.g., web beacons, pixels, and local storage) for various purposes, including to authenticate users, remember user preferences and settings, analyze site traffic and trends, deliver and measure the effectiveness of advertising campaigns, and enable certain features of the Service.

We may update this Cookie Policy from time to time. Changes will be posted here, and your continued use of the Service after such changes constitutes acceptance.
You must comply with U.S. and other applicable export, re‑export, and sanctions laws. The Service is not offered to, and may be blocked for, residents or persons located in jurisdictions subject to comprehensive U.S. sanctions (currently including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea/Donetsk/Luhansk regions of Ukraine) or any other jurisdiction we designate. You may not use the Service if you are on any U.S. government restricted list.
Certain consumer rights may apply depending on your residence. We offer the Service to UK and EU consumers subject to localized terms and disclosures, including jurisdiction-specific addendums for compliance with regulations such as the EU AI Act and UK equivalents. These addendums are available upon request or through your account settings and must be accepted for full access to features like live trading.
THE SERVICE (INCLUDING DATA, MODELS, OUTPUTS, PROMPTS, TEMPLATES, STRATEGIES, AND ANY BETA FEATURES) IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND THAT THE SERVICE WILL BE ERROR‑FREE, UNINTERRUPTED, ACCURATE, OR SECURE. WE DO NOT WARRANT THAT THE SERVICE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, AND YOU ASSUME ALL RISKS AND COSTS ASSOCIATED THEREWITH.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER MAKECENTS NOR ITS AFFILIATES OR SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, TRADING LOSSES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE MONTHLY SUBSCRIPTION FEES PAID TO MAKECENTS IN THE THREE MONTHS IMMEDIATELY PRECEDING EVENT GIVING RISE TO THE LIABILITY.
Third‑party providers and data. Without limiting the foregoing, MakeCents has no liability for losses or missed opportunities arising from data delays, interruptions, errors, inaccuracies, omissions, or outages of any third‑party provider (including Broker, its affiliates, data contributors, or network providers), or from trading halts, exchange outages, corporate actions, provider‑level decisions (such as margin calls or borrow unavailability), or rejected/canceled orders.
Prompts and AI Model Providers. Without limiting the foregoing, MakeCents is not liable for disclosure, publication, or unauthorized access to prompts, outputs, or User Content processed by AI Model Providers, except to the extent directly caused by MakeCents's gross negligence or willful misconduct.
Some jurisdictions do not allow limitations of certain damages; these limits apply to the fullest extent permitted by law. The parties acknowledge that the disclaimers, limitations, and exclusions of liability set forth in these Terms reflect a fair and reasonable allocation of the risks between them and are an essential basis of the bargain between the parties.
You will indemnify and hold harmless MakeCents and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, outputs, or automation; (b) your violation of these Terms or applicable law; (c) your User Content; (d) disputes with any broker, exchange, or data provider; or (e) your misuse of API keys or credentials.
Good‑faith resolution. Before filing a claim, the complaining party must send a written Notice of Dispute to legal@makecents.ai. The parties will attempt to resolve the dispute informally within 30 days.
Arbitration. If not resolved, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act (FAA) governs interpretation and enforcement. Arbitration will be held in Miami‑Dade County, Florida, or remotely at the arbitrator's discretion.
Small‑claims and injunctive carve‑outs. Either party may bring an individual action in small‑claims court. Either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or the security/integrity of the Service.
Fees. Each party bears its own attorneys' fees and costs. The arbitrator may award fees only if a claim is found to be frivolous or brought in bad faith.
Class‑action waiver. Disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class or representative action.
Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
These Terms are governed by the laws of the State of Florida and the United States, without regard to conflict‑of‑law rules, except that the FAA governs the arbitration clause. Subject to Section 23, the exclusive venue for any court action is the state and federal courts located in Miami‑Dade County, Florida.
We may modify, suspend, or discontinue features at any time. For changes that materially reduce core functionality of a paid plan, you may cancel per Section 13.
You consent to receive notices electronically through the Service or by email. Provide a current email address and keep it up to date. Formal notices to MakeCents must be sent to the postal address above with a copy to legal@makecents.ai.
We maintain business continuity and disaster recovery procedures appropriate to our size and stage. In the event of a major outage, we will post updates on our status page at [status.makecents.ai] (or successor) with reasonable update cadences.
You may stop using the Service at any time. We may suspend or terminate access if you materially or repeatedly breach these Terms or use the Service in a way that creates risk of harm. For non-material breaches, we will provide a 30-day cure period before termination, except for breaches involving unauthorized use, payment failures, or security risks, which may result in immediate termination. Upon termination, your license to access the Service ends, but Sections 5–9 and 12–24 will survive. Upon cancellation or termination, your account information may be deleted at our discretion, with possible delays for backups or legal requirements. Trace information may remain with third parties, and you indemnify us for any misuse of cached or residual data.
You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or corporate reorganization. If any provision is held invalid, the remaining provisions will remain in full force. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and MakeCents. Neither party is liable for delays or failures due to events beyond reasonable control (including natural disasters, outages, war, strikes, or governmental actions).
